The Annual General Meeting of members of Victoria Racing Club Limited will be held on Wednesday 15 December 2021 at 3.00pm (AEDT).

Due to the uncertainty of continuing developments in relation to the COVID-19 situation and public health concerns at the time of scheduling the AGM, this year the AGM will be held as a virtual meeting. Members are advised that attendance in person at the AGM is not possible as there will not be a physical meeting.

ACCESSING THE AGM

Eligible members will be able to access the virtual AGM via this page on Wednesday 15 December, and will receive reminders in relation to this meeting closer to the date. Once you access the site you will be asked to enter your VRC Member Number and your date of birth.

PROPOSED AMENDMENTS TO THE CONSTITUTION

The Company’s constitution is reviewed at regular intervals – generally every three to five years.

This is done to ensure its continued effectiveness, to address (where appropriate) issues identified by Members or the Board and to assess its currency in view of contemporary governance practices.

At last year’s AGM it was foreshadowed that a governance review would be conducted to ensure the right framework and principles are in place. The Board has subsequently reviewed the VRC’s governance, and the changes proposed at this year’s meeting are designed to address current legal requirements, contemporary practice and technology, and matters of governance policy considered by the Board to be in the best interests of the club and its members. In addition to the proposed changes to the constitution, the VRC’s commitment to strong governance will be supported by a Board Charter which the Board is advanced in the process of finalising for implementation. 

VOTING

Direct/Proxy Voting

CorpVote Pty Ltd (CorpVote) has been appointed to conduct the voting process in relation to the changes to the club’s constitution.

Proxy voting in relation to the changes to the club’s constitution is an option provided via the online voting portal and this is the only formal business to be put to a vote at the Annual General Meeting. However, if you wish to appoint a proxy and vote prior to the meeting, please lodge your proxy form by referring to the ‘Vote Now’ email sent by CorpVote, by post or email, or contact the Returning Officer, Tim Jones, of CorpVote Pty Ltd with queries. Your proxy must be a member of the VRC.

For your proxy vote to be effective it must be received by 3:00pm AEDT Monday, 13 December 2021.

To vote and attend the Annual General Meeting, you must be a financial Full member or Life member.

We are again inviting eligible members to submit questions in advance of the Annual General Meeting to be addressed during question time at the AGM.

The VRC will aim to answer as many questions as possible during the time allotted, giving priority to those most frequently asked.
